In compliance with the provisions of Articles 9 and 10 of Law No. 18,045 on the Securities Market and the provisions of General Rule No. 30 of that Superintendence, duly authorized and on behalf of ENEL CHILE S.A. (“Enel Chile or the Company”), I come to inform you, as an essential fact, that the Company’s Board of Directors has taken note of the Essential Fact issued by its subsidiary Enel Generación Chile S.A., in relation to a commercial agreement with the company Shell Global Energy Limited, Singapore Branch, which concerns certain contractual modifications between the parties and in the contracts entered into by third parties at their request, including, among others, the partial disposition of certain volumes of LNG, which are projected as surplus to the fulfillment of the commitments already acquired by Enel Generación Chile S.A..
As reported by our subsidiary, to this date some of the corporate authorizations of the parties involved are pending, which are expected to be obtained within the month of December of this year.
The transaction is expected to have a positive impact on Enel Chile’s earnings before taxes and non-controlling interests of approximately USD 500 million.
