REF: COMMUNICATES ESSENTIAL FACT
From our consideration:
In accordance with the provisions of article 9 and the second paragraph of article 10 of the Law
N°18.045 on the Securities Market and in the General Rule N°30 of the Commission for the
Mercado Financiero (CMF), duly authorized and on behalf of Enel Chile S.A. (Enel)
Chile), I have come to inform the following:
On this date, July 28, 2022, Enel Chile entered into an English-language contract called
“Stock Purchase Agreement”, under which Enel Chile agreed to sell to Sociedad Transmisora
Metropolitana SpA., all of its owned shares issued by Enel Transmisión Chile
S.A. (the “Sale”), equivalent to 99.09% of the latter. Transmission Company
Metropolitana SpA. is a company controlled 100% by Inversiones Grupo Saesa Limitada.
The execution of the Sale and the consequent transfer of the shares owned by Enel
Chile issued by Enel Transmisión Chile S.A. has been subject to certain conditions
usual suspensive for this type of operation, including approval by the Prosecutor’s Office
National Economic in accordance with the provisions of D.L. 211 of 1973. In accordance with
Law No. 18,045 on the Securities Market, the Sale will be materialized through the realization by
part of the purchaser of a takeover bid for all of the
shares of Enel Transmisión Chile S.A.
The purchase price amounts to USD 1,345 million for 99.09% of the capital
of Enel Transmisión Chile S.A. owned by Enel Chile, which may experience variations by
application of the adjustments stipulated in the Sale. The price indicated is equivalent to a value of
company (Enterprise Value) of USD 1,526 million.
Enel Transmisión Chile S.A. operates and owns 683 kilometers of transmission lines in the
which 183 kilometers correspond to the National Transmission System, 499 kilometers to the System
of Zonal Transmission D, 0.1 kilometers to Zonal Transmission System C, and 0.2 kilometers to one
Dedicated transmission line. Additionally, it operates 57 of its own substations and owns and operates
assets that are installed in 3 substations owned by third parties.
The execution of the Sale is estimated to have a positive effect on the consolidated net result
of Enel Chile of approximately USD 783 million in 2022, and will entail the
de-affiliation and loss of control over Enel Transmisión Chile S.A.
The foregoing implies the cessation of the reserved factual nature of the resolution adopted by the Board of Directors.
