Dear Sir or Madam:
In accordance with the provisions of Articles 9 and 10, second paragraph, of Law No. 18,045 and
provided for in General Standard No. 30 of the Commission for the Financial Market (“CMF”), and
Using the powers conferred upon me, I inform you, as an essential fact, that the
The Board of Directors of Enel Américas S.A. (“Enel Américas” or the “Company”), unanimously approved the following:
1. Submit a request for delisting of the American Depositary Receipts (ADR) issued by the
Company, which are traded on the New York Stock Exchange (NYSE) of the United States of America.
This delisting request will be filed on June 10, 2022 with the Securities and
Exchange Commission of the United States of America on Form 25. Delisting
It would be effective ten days after the submission of the aforementioned form.
2. To terminate the “Deposit Agreement”, and to instruct Citibank, in its capacity as Depositary Bank of the
Enel Américas S.A.’s ADR Program, to proceed to inform the holders of ADRs, with the
anticipation of at least 30 calendar days agreed in the aforementioned Deposit Agreement, of the
Company’s decision to terminate such Program.
3. Enter, once the requirements demanded by the Securities and Exchange Commission are met, the
Form 15F with such regulator, to voluntarily disregister the Society from Section 12(g)
of the US Securities Exchange Act of 1934 and its subsequent amendments (the “Exchange Act”) and
terminate your disclosure obligations under Sections 13(a) and 15(d) of the Exchange Act.
The Company will continue to list its shares on the Santiago Stock Exchange and the Stock Exchange
Electronics of Chile.
The above decisions have no material financial effects relevant to the Company.
