From our consideration:
In accordance with the provisions of article 9* and the second paragraph of article 10% of
Law N*18.045 on the Securities Market and General Rule N*30 of
the Commission for the Financial Market, duly empowered and on behalf of
Sociedad Transmisora Metropolitana II S.A., formerly Enel Transmisión Chile
S.A. (the “Company”), I have come to inform the following:
At the Company’s Extraordinary Shareholders’ Meeting held on the same date,
(the “Board”) agreed, among other matters, the following amendments to the statutes
Social:
(i) To amend Article Eight, so as to increase the number of members.
that make up the Board of Directors of the Society, from the five current members to
eight members; and
(ii) Modify the tenth article, so as to incorporate the charge of
Vice Chairman of the Board and the Company, who will replace the Chairman
in his absence.
On the basis of the above, the Board then proceeded to the election of the new
Board of Directors of the Society for the next three years, which was composed of the
following persons:
Mr. Jorge Lesser García-Huidobro;
Don Iván Díaz-Molina;
Don Juan Ignacio Parot Becker;
Mrs. Luz Granier Bulnes;
Don Jonathan Reay;

6. Mrs. Ashley Munroe;
7. Don Stephen Best; and
8. Mrs. Shama Naqushbandi.
Subsequently, at the Company’s Board of Directors Meeting held following the
Board, Mr. Jorge was appointed as President and Vice Chairman of the Board of Directors.
Lesser Garcíia-Huidobro and Don Iván Díaz-Molina, respectively.
