COMMUNICATE ESSENTIAL FACT
From our consideration:
In accordance with the provisions of article 9* and the second paragraph of article 10% of
Law N*18.045 on the Securities Market and General Rule N*30 of
the Commission for the Financial Market (“CMF”), duly empowered and in
representation of Enel Transmisión Chile S.A. (the “Company”), I come to inform the
next:
In a meeting held today, the Board of Directors of the Company took note of the resignation
the Chairman of the Board Mr. Domingo Valdés Prieto, Mr. Daniel Gómez Sagner,
of Mrs. Claudia Navarrete Campos and Mrs. Liliana Schnaidt Hagedorn to their positions
as directors of the former, with effect from this date, considering the change of
controller of the Company who was informed by means of an essential fact of the same
date. The Board thanked the Chairman and each of the Directors for their
commitment and the contribution delivered in its management of the Company.
At the same meeting, in accordance with the provisions of the fourth paragraph of article 32 of the
Law 18.046, on Corporations and with effect from this date, the Board of Directors
proceeded to appoint as director of the Company; Mr. Iván Díaz-Molina, replacing
Mr. Gómez, to Mr. Juan Ignacio Parot Becker in place of Mrs. Navarrete,
Mrs. Luz Garnier Bulnes to replace Mrs. Schnaidt and Mr. Jorge Lesser
García-Huidobro replaced Mr. Valdés.
The Board then proceeded to appoint as Chairman of the Board and of the
Society, to Mr. Jorge Lesser García-Huidobro.
Then, the General Manager of the Company, Mr. Víctor Tavera Olivos, proceeded to
submit his resignation considering the aforementioned change of control, receiving
The thanks of the newly appointed Board of Directors.
At its meeting immediately thereafter, the new Board agreed to designate as
General Manager of the Company to Mr. Francisco Alliende Arriagada, also with
effective as of this date.
