REF: COMMUNICATES ESSENTIAL FACT
From our consideration:
In accordance with the provisions of Article 9″ and the second paragraph of Article
10* of Law No. 18,045 on the Securities Market and the Character Standard
General N*30 of the Commission for the Financial Market (“CMF”), duly
empowered, I inform you, as an essential fact, that, at the Meeting,
Extraordinary Shareholders’ Meeting of Enel Transmisión Chile S.A. (the “Company”)
Held today, the following was agreed:
1. Amend the fourth article of the bylaws, increasing the number
of shares into which the share capital is divided, without increasing it, and distributed
shares in two series called “A” and “B”.
This modification involves creating two new series A and B. The new
Series A shares shall enjoy the same rights as existing shares
of the Society. For its part, the new B series has a preferential right
to convene a Shareholders’ Meeting with 5% of the shares of that series
and a limitation that you cannot vote to elect Directors. The
Preference and limitation was established for a period of 5 years, without prejudice to
any renewals;
2. Approval of the exchange ratio between the old and the new
shares into which the share capital is divided, so that shareholders
will receive for each old share they own, one more new series A share
99,999 Series B shares; and
3. The approval of a consolidated text of the bylaws;

The effectiveness of the above agreements was subject to the condition
suspensive consisting in that the companies “Transmitting Company
Metropolitana SpA”, together with that other entity indicated by the latter,
publish a notice of result, declaring the tender offer successful
of Shares (OPA) to be launched on Enel Transmisión Chile S.A. and which is
associated with the transaction reported by essential event dated July 28
2022.
