From our consideration:
In accordance with the provisions of Article 9″ and the second paragraph of Article
10% of Law No. 18,045 on the Securities Market and the Character Standard
General N*30 of the Commission for the Financial Market (“CMF”), duly
empowered and on behalf of Enel Transmisión Chile S.A. (“Enel Transmisión “),
I come to inform the following:
With this date, July 28, 2022, Enel Transmisión has learned that
its parent company, Enel Chile S.A. (“Enel Chile”) entered into a contract in language
English called “Stock Purchase Agreement”, under which Enel Chile
agreed to sell to Sociedad Transmisora Metropolitana SpA., all of the
shares owned by it issued by Enel Transmisión (the “Sale”),
equivalent to 99.09% of the latter. Metropolitan Transmission Company
Spa. is a company controlled 100% by Inversiones Grupo SAESA
Limited.
As reported by Enel Chile, the execution of the Sale and the
consequent transfer of the shares owned by Enel Chile issued by
Enel Transmisión has been subject to certain usual suspensive conditions
for this type of operation, including approval by the Prosecutor’s Office
National Economic in accordance with the provisions of D.L. 211 of 1973. In
application of Law No. 18,045 on the Securities Market, the Purchase and Sale is
will materialize through the realization by the buyer of a Public Offer
Takeover Bid for all the shares issued by Enel
Transmission.
The price of the sale amounts to the amount of USD 1,345 million for the
99.09% of the capital of Enel Transmisión held by Enel Chile, which will be able to
experience variations due to the application of the adjustments stipulated in the
Trade. The price indicated is equivalent to a value of the company (Enterprise
Value) of USD 1,526 million.
Enel Transmisión operates and owns 683 kilometres of transmission lines
of which 183 kilometers correspond to the National Transmission System,
499 kilometers to Zonal Transmission System D, 0.1 kilometers to Zonal Transmission System
Zonal C transmission, and 0.2 kilometers to a dedicated transmission line.
Additionally, it operates 57 of its own substations and owns and operates assets that
They are installed in 3 substations owned by third parties.
The execution of the Sale will mean that Enel Transmisión ceases to be a subsidiary
and controlled by Enel Chile and becomes part of the SAESA Group.
The foregoing also implies the cessation of the reserved nature of the essential fact.
and the resolutions adopted by the Board of Directors of Enel Transmisión
on this matter and that it was reported to this Commission on May 2,
2022.
