Dear Madam President,
In accordance with Article 9 and paragraph 2 of Article 10 of Law No. 18,045 on the
Securities, General Standards Nos. 30 and No. 210 of that Commission, and being duly
Empowered to do so, I have come to inform that Commission as an Essential Fact of the following:
On November 4, 2022, through a share purchase agreement, Empresas Lipigas
S.A. (Lipigas), through its subsidiary Lima Gas S.A., domiciled in Peru, acquired 60% of the shares
nominative of the company Limagas Natural Movilidad S.A.C. The corporate purpose of Limagas Natural
Movilidad S.A.C. is the construction and operation of service stations for the supply of gas
liquefied natural gas (LNG) or natural gas vehicles (6NV) for use in trucks and vehicles, and other businesses
similar companies related to the marketing of LNG for use in other types of transport such as
the fluvial, railway and mining.
The business plan of the new subsidiary will depend on the development of the LNG business for transport in
Peru, with investments of approximately USD 2.5 million expected in 2023 to develop
First stations supplying this fuel for long-distance transport.
This investment is part of the use of Lipigas’ experience in the use of LNG to
transport in Chile and the possibilities offered by the decision of successive governments of Peru
to promote the use of natural gas produced in the country.
