Dear Madam President,
In accordance with Article 9 and paragraph 2 of Article 10 of Law No. 18,045 on the Securities Market,
General Rules Nos.30 and N.210 of that Commission, and being duly empowered to do so,
I come to inform that Commission as an Essential Fact of the following.
On October 18, 2022, Empresas Lipigas S.A. (Lipigas) acquired, through its subsidiary EVOL SpA,
all the shares issued by the companies Ecom Energía Chile SpA and Ecom Generación SpA, to
its current shareholders Ecom Holding SpA, (80%) and TEM Inversiones SpA, (20%). Acquired companies
develop the activity of advising clients in optimization of their electricity costs and
Commercialization of electrical energy.
The acquisition from its previous owners involves the payment of a value of approximately USD 4.2 million
and possible variable payments depending on the results of Ecom Energía Chile SpA for the next 3 years.
The companies will maintain their general management, in charge of Mr. Sebastián Gonzalo Novoa Curihuentro, and
Management team.
This acquisition is part of Lipigas’ strategy to actively participate in the
Commercialization of electrical energy, given the growing importance of this energy within the matrix
energy of Chile.
