Dear Sirs,
In compliance with the provisions of article 9 and the second paragraph of article 10 of the Law
N*18.045, and the provisions of General Standards N230 of this Commission for the
Mercado Financiero, hereby and on behalf of Empresas lansa S.A. (the
“Company”), I communicate to you as an essential fact the following:
On January 22, 2020, it was reported as an essential fact that the Company and its
subsidiary lansagro S.A. signed a contract for the sale of shares and assets with Empresas
Tucapel S.A. (“Tucapel”) subsidiary of the Brazilian group Camil Alimentos, by virtue of which the Company and
lansagro S.A. would sell its pet food production and marketing business,
noting on that occasion that the closing of the transaction was subject to compliance with
certain suspensive conditions.
The parties have agreed by common agreement not to persevere in the transaction, signing on 6
of April 2022, a term and termination of this, giving for totally terminated the operation of
Sale indicated above.
It is noted that this situation has no financial effects for the Company, since the
Results of that operation had not been accounted for, as long as it had not been accounted for.
