Ref.: Resolutions Ordinary Shareholders’ Meeting.
From our consideration,
In compliance with the provisions of article 9 and the second paragraph of article 10 of the
Law N*18.045, in Circular N*660 and in General Rule N*30, both of this
Superintendence, duly empowered and on behalf of Empresas Hites S.A. (the
“Company”), I come to communicate to you, as an essential fact with respect to the
Company, which at the Ordinary Shareholders’ Meeting of the Company held today, was
adopted, inter alia, the following agreements:
1) Approval of the Company’s Annual Report, Balance Sheet and other Financial Statements
for the year ended December 31, 2022
2) The distribution of a dividend of $2,661,298,619, equivalent to $7.056814 for each share
subscribed and paid by the Company, which is equivalent to the mandatory minimum dividend provided for in the
Article 79 of Law No. 18,046 on Corporations, that is, 30% of net profit
distributable for the year ended December 31, 2021. The dividend will be paid to
Disposition of shareholders as of May 26, 2023 and will be entitled to it
shareholders registered in the Register of Shareholders of the Company at midnight of the fifth
business day prior to the aforementioned payment date, i.e. at midnight on May 20
of 2023.
3) Designate the newspaper El Mostrador for the publications that must be made in accordance with
the law.
4) The revocation of the Board of Directors of the Company was approved.
5) They were elected as directors of the Society Enrique Bone Soto, Ernesto Edwards
Risopatrón, Marcos Hites Palombo, Jaime Hites Weber, Jaime Anusch Brikisak, Felipe Agustín
Pérez Walker and Paula Loyola Schmidt, Mrs. Loyola and Mr. Pérez being elected as
of independents.
