Ref.: Resolutions Ordinary Shareholders’ Meeting.
From our consideration,
In compliance with the provisions of article 9 and the second paragraph of article 10 of the
Law N*18.045, in Circular N*660 and in General Rule N*30, both of this
Superintendence, duly empowered and on behalf of Empresas Hites S.A. (the
“Company”), I come to communicate to you, as an essential fact with respect to the
Company, which at the Ordinary Shareholders’ Meeting of the Company held today, was
adopted, inter alia, the following agreements:
1) Approval of the Company’s Annual Report, Balance Sheet and other Financial Statements
for the year ended 31 December 2021;
2) The distribution of a dividend of Ch$4,210,483,725, equivalent to Ch$11.1647 for each share subscribed
and paid from the Company, which, added to the provisional dividends already distributed by the
Company charged to the profit of the year 2021, equivalent to the minimum mandatory dividend provided
in Article 79 of Law No. 18,046 on Corporations, that is, 30% of the profit
Distributable liquid for the year ended December 31, 2021. The dividend was put to
Disposition of those of the shareholders as of the same day April 29, 2022.
3) Designate the newspaper El Mostrador for the publications that must be made in accordance with
the law.
4) To elect as directors of the Company Enrique Bone Soto, Ernesto Edwards Risopatrón,
Marcos Hites Palombo, Jaime Hites Weber, Felipe Agustín Pérez Walker, Jaime Maluk Valencia and
Paula Loyola Schmidt, Mrs. Loyola and Mr. Pérez being elected as
Independent
