By virtue of the provisions of Articles 9″ and 10″ of Law No. 18,045 on the Securities Market and
in General Rule N”30 of the Commission for the Financial Market, in
representation of Empresas GASCO S.A. (the “Company”) and duly authorized, through the
I hereby inform you that with this date, Sociedad y Energía Latina S.A. (“Enlasa”)
signed an instrument called “Master Share Sales Agreement”.
Under this agreement, Enlasa sold and transferred to Empresas GASCO S.A., which bought and
acquired for itself, 54,550 shares owned by Enlasa en Innovación Energía S.A.,
representing 50% of the capital stock of said company, at the price of US$15,606,999.
Likewise, on this same date Enlasa sold and transferred to Empresas GASCO S.A., who bought
and acquired for itself, 9,827 shares owned by Enlasa in the company Terminal Gas Caldera
S.A., representing 50% of the capital stock of said company, in the price of US$1,965,400.
In this way, Empresas GASCO remains at this date as the owner of 100% of the shares of
Innovación Energía S.A. and Terminal Gas Caldera S.A.
