From our consideration:
In accordance with the provisions of Article 9 and Article 10, second paragraph, of Law No. 18,045,
on the Securities Market and in the Commission’s General Rule No 30 for the
Financial Market, and being duly authorized, I inform you that today
held the Ordinary Shareholders’ Meeting of EMPRESAS GASCO S.A. (the “Company”), in which
The following agreements were adopted:
Approval of the Annual Report, Balance Sheet, Financial Statements and Report of External Auditors
corresponding to the year ended December 31, 2021.
Distribution as a final dividend a total amount of Ch$6,216 million, charged to the
distributable net income for the year ended December 31, 2021, equivalent to
to distribute a final dividend of $37 per share to be paid effective May 19, 2000
2022.
Statement of the Company’s dividend policy for the year 2022 and information on the
Procedures to be used in the distribution of dividends.
Election of the Board of Directors, being elected for the next period the following persons:
Schopke Cood G, Schleyer L, Cid Labbé A, Laso Jose
Bambach, Vicente Monge Mayor, Andrés Pérez Cruz, Matías Pérez Cruz, Carmen Gloria Pucci
Labatut, and Carlos Rocca Righton.
Appointment of PricewaterhouseCoopers as External Auditors.
Designation of Fitch Ratings and Humphrey’s as Risk Rating Agencies.
Designation of the newspaper El Libero as the newspaper in which social publications will be made.
Determination of the remuneration of the Board of Directors for the year 2022 and information of its
Expenses in 2021.
Approval of the account of transactions with related parties described by Title XVI
of Law No. 18.046.
The details of the agreements will be included in the Minutes of the respective Meeting, which will be sent
opportunely.
