REF: Essential Fact Empresas Carozzi S.A.
Dear Sir or Madam:
In compliance with the provisions of Articles 9 and 10 of Law No. 18,045
on the Securities Market, and in Commission General Rule No. 30
for the Financial Market, I inform you as an Essential Fact that, Companies
Carozzi S.A., has entered into a contract promising the transfer of social rights,
called “Contract of Promise of Assignment of Social Rights of Dairies
Loncomilla Limitada y de Venta de Marca San Francisco” (“Promise Agreement”),
with Mac Clure Lyon SpA and Salvador Francisco Mac Clure Armanet (both
jointly “Lecherías Loncomilla”), for the acquisition of 100% of the
social rights of Lecherías Loncomilla Limitada (the “Transaction”). It should be done
On this date, July 22, the parties waived certain
conditions.
The closing of the Transaction is subject to the fulfillment of the condition of
that the National Economic Prosecutor’s Office authorizes it. It should be noted that, with date
