From our consideration,
In accordance with the provisions of Article 9 and the second paragraph of Article
10 of Law 18,045 on the Securities Market, as well as the provisions of the
General Character N930 of the Commission for the Financial Market, duly
empowered and on behalf of Empresa Eléctrica de la Frontera S.A. (the “Company”),
I come to inform you, as an essential fact, that at an extraordinary meeting
of shareholders held on the same date, was approved, in accordance with the terms of the
Title XVI of Law No. 18.046 on Corporations, a transaction with parties
related consisting of the purchase of certain generation assets of a system
isolated to the related company SAGESA S.A.
