From our consideration,
In accordance with the provisions of Article 9 and the second paragraph of Article
10 of Law 18,045 on the Securities Market, as well as the provisions of the
General Character N930 of the Commission for the Financial Market, duly
empowered and on behalf of Empresa Eléctrica de la Frontera S.A. (the “Company”),

That the Company is evaluating an operation consisting of the purchase,
by the Company, of certain generation assets of an isolated system of
property of the related company SAGESA S.A. (the “Operation”).
The Transaction qualifies as a related party transaction and, of
