FROM: (GERENTE GENERAL METRO S.A.
In accordance with Article 9? and second paragraph of article 10 of the Law
N* 18.045 and in General Standard N* 30 of the Commission for the Financial Market,
Duly authorized, I comply with informing you of the following essential fact regarding the company.
Today, the 47th Extraordinary Shareholders’ Meeting of Metro S.A. was held, adopting the
following agreements:
a) Increase the capital subscribed and paid at the date of the Meeting, capitalizing tax contributions for the
sum of $79,991,979,000, amount destined to the financing of the Network Reconstruction Plan
of Metro, the new Line 7 and debt service, through the issuance of 4,697,121,491 shares of
nominative payment and without nominal value, of Series “A”, subscribed and paid entirely by the Treasury
of Chile, at a value of $17.03 pesos per share. Also, increase the subscribed and paid-up capital
to the date of the Meeting, capitalizing tax contributions in the amount of $ 105,000,000,000, amount
intended to finance other general needs of the company, through the issuance of
6,165,590,135 registered and non-par value Series “A” paid shares, subscribed and paid
entirely by the Treasury of Chile, at a value of $17.03 pesos for each share. The participation of
shareholders were as follows: 55.55% for the Corporation for the Promotion of Production and 44.45%
for the Treasury of Chile.
b) Replace the Fifth Permanent and First Transitory Articles of the Company’s Bylaws,
in order to reflect the new authorised capital, the shareholding composition and the way in which it is found,
