In accordance with the provisions of article 9 “and second paragraph of article 10* of the law
N* 18.045 and in General Standard N* 30 of the Commission for the Financial Market,
Duly authorized, I comply with informing you of the following essential fact regarding the company.
Dated yesterday was held the 462? Extraordinary Shareholders’ Meeting of Metro S.A.,
The following agreements are adopted:
a) Increase the capital subscribed and paid at the date of the Meeting, capitalizing contributions in the amount
of $161,480,411,000, amount destined to the financing of the new Line 7, through the
issue of 8,454,471,780 registered payment shares with no par value, Series “A”,
which the Corporation for the Promotion of Production shall subscribe to and pay no later than 31
December 2022, at a value of $19.10 pesos per share. Also, increase capital
subscribed and paid at the date of the Meeting, capitalizing tax contributions in the amount of
$188,321,155,000, amount destined to finance the Reconstruction Plan of the
Metro, the new Line 7 and debt service, through the issuance of 9,859,746,335 shares of
nominative payment and without nominal value, of Series “A”, subscribed and paid in full by the
Treasury of Chile, at a value of $19.10 pesos for each share. Shareholder involvement
was as follows: 59.51% for the Corporation for the Promotion of Production and 40.49% for
Treasury of Chile.
b) Replace the Fifth Permanent and First Transitory Articles of the Statutes of the
Company, in order to reflect the new authorized capital, shareholding composition and form
