From our consideration:
In accordance with the provisions of articles 9% and 10%, second paragraph, of the Law
N*18.045 of the Securities Market and the provisions of General Standard N*30 of the
Commission for the Financial Market (“CMF”), duly empowered and on behalf of
Electrolux de Chile S.A. (the “Company”), I have come to communicate to you, in a capacity as fact,
essential, that at the Extraordinary Meeting of Shareholders of the Company held on this date (the
“Board”), the following were approved, inter alia:
(i) That the Company ceases to be affected by the rules governing public limited companies
opened, because they no longer fulfil the conditions which make their
registration in the Securities Registry of the CMF;
(ii) The cancellation of the registration of the Company and its shares in the Securities Registry
of the CMF, as well as the cancellation of the registration of the Company’s shares
on stock exchanges;
(iii) Modify the Bylaws of the Company, in order to reflect the new quality of
closed joint-stock company, which will only take effect once the CMF
approves the cancellation of the registration of the Company and its shares;
(iv) Finally, within the framework of the resolutions adopted by the Board, it was agreed to approve a
Consolidated text of the Bylaws.
It is noted that the resolutions adopted at the Meeting grant the dissenting shareholder the
right to withdraw from the Company, upon payment of the value of its shares, which in accordance with the
Corporations’ Regulations amount to $586 per share. Can
exercise this right those shareholders registered in the Register of Shareholders of the Company to
time to determine which shareholders were entitled to participate in the Meeting and who did so
manifest within 30 days from this.
