Duly authorized by Eléctrica Puntilla S.A., a corporation registered in the Securities Registry under number 1083 (the “Company” or the “Company”), and by virtue of the provisions of Article 9 and the second paragraph of Article 109 of Law No. 18,045, and numeral 2.2. of Section II of General Standard No. 30 of the Commission for the Financial Market (the “Commission”), I come to report the following essential fact regarding the Company and its business:
With this date, the Board of Directors of the Company has learned of the resignation of Mr. José Miguel Guzmán Lyon from his position. In accordance with the foregoing, and in accordance with the provisions of Article 32 of Law No. 18,046 on Corporations and the Company’s bylaws, at the same meeting it was agreed to declare the position vacant, and the Board of Directors must be completely renewed at the next Ordinary Shareholders’ Meeting.
