EL OLIVETO GOLF AND SPORTS CLUB S.A.
From our consideration:
In compliance with the provisions of Article 9 and Article 10, paragraph 2 of Law No. 18,045, and in accordance with the continuous information standards contained in General Standard No. 30 of this Superintendency, we hereby inform you, as an essential fact of the company Club de Golf y Deportes El Oliveto S.A., that on May 18, 2023, an Extraordinary Board of Directors’ Meeting was held in which it was agreed to call an Extraordinary Shareholders’ Meeting in order to submit to the consideration of the shareholders a proposal for the reduction of the Company’s capital stock, that on May 18, 2023, an Extraordinary Board of Directors’ Meeting of said company was held in which it was agreed to call an Extraordinary Shareholders’ Meeting in order to submit to the consideration of the shareholders the capital decrease of the company as a result of the absorption of its accumulated losses, proceeding to the subsequent capital increase of the company and the amendment of its bylaws. Meeting to be held on June 13, 2023 at 3:30 p.m., at Camino El Oliveto 4178 ex 0426, Talagante.
Items to be discussed:
To submit to the consideration of the shareholders the reduction of the Company’s capital through the absorption of the accumulated losses as of December 31, 2022.
To submit to the consideration of the shareholders the capital increase of the corporation, for an amount of $1,021,830,000, or for the amount determined by the meeting, issuing for this purpose a total of 6,000 paid-in shares, which must be subscribed and paid within the term agreed upon by the meeting.
3. To adopt all other resolutions that may be necessary or convenient to materialize, carry out and complement the resolutions adopted by the Board in relation to the matters indicated above, as well as the granting of the necessary powers for the execution and compliance with the resolutions adopted by the Board, especially for the submission of documents to the Financial Market Commission and the Internal Revenue Service.
