From our consideration:
Duly authorized by EF Securitizadora S.A., a company registered in the Securities Registry
of Public Offering under N* 782 (the “Company” or the “Company”), and by virtue of the provisions
in Articles 9″ and 10? of Law N* 18.045, and in General Rule N* 30 of the
Commission for the Financial Market, I have come to report on the following essential fact concerning
to the Society:
In an extraordinary meeting held on March 30, 2023, the Board of Directors of the Company
Agreed to call an extraordinary shareholders’ meeting for April 25, 2023 at 2:00 p.m.
(the “Board”), at the offices of the Company, located at Av. El Golf +99, 14th floor, Las
Condes, Metropolitan Region, in order to submit for approval the following matters:
1. Review of the Company’s situation and the reports of the external auditors, and the
approval or rejection of the report, balance sheet and financial statements corresponding to the
2022 financial year;
2. To decide on the distribution of profits, and in particular, the distribution of
Dividends;
3. Election of members of the Board of Directors and determination of their remuneration for the year
2023;
Election of external auditors for the financial year 2023;
Operations with related persons; and
Other matters that are of social interest and that are not proper to a meeting
extraordinary shareholders.
HARD
In accordance with the provisions of paragraph 1 of article 103 of the Regulations of Corporations,
holders of shares registered in the Register shall be entitled to participate in the Meeting.
of Shareholders of the Company at midnight on the fifth business day preceding that fixed for the
celebration of the Meeting.
Shareholders may be represented at the Meeting by another person, provided that
the latter power of attorney in writing in compliance with the particulars referred to in Article 111
of the Regulations of Corporations. According to the stipulations of subsection 1? of the article
Article 114 of the Regulations on Public Limited Companies, the classification of powers, if applicable, is
will be held on the same day of the Meeting, at the beginning of the Meeting.
