Of my consideration.
ENGIE Energía Chile S.A., an open corporation registered in the Securities Registry under No. 0273 (hereinafter the “Company”), by virtue of the provisions of Article 10 of Law No. 18,045 and General Rule No. 30 of the Commission for the Financial Market, hereby communicates as an essential fact with respect to the Company, of its businesses, its public offering securities or the offering thereof, the following:
In line with the energy transition plan towards renewable means of generation in which the Company is immersed, on December 15 it entered into a share purchase agreement (the “SPA”) with the companies Trans Antarctic Energía S.A., Trans Antarctic Energía Ill S.A., Bosques de Chiloé S.A., Beltaine Renewable Energy S.L. and Inversiones Butalcura S.A. (the “Sellers”), sole and current shareholders of the companies Alba S.A., Alba Andes S.A., Alba Pacífico S.A., Energías de Abtao S.A. and Río Alto S.A., for the acquisition of 100% of the shares of said companies. These companies owned the following assets: (i) San Pedro l wind farm, which has 18 wind turbines with an installed capacity of 36 MW; (ii) San Pedro II wind farm, which has 13 wind turbines with an installed capacity of 65 MW; and (iii) a wind power generation project currently under development, with a capacity to be installed of up to approximately 151 MW; all located in the commune of Dalcahue, Chiloé, Los Lagos Region.
The agreed price is USD 77,000,000, a sum that includes payments to related companies of the Sellers and was paid at the time of signing the SPA. On December 1, the National Economic Prosecutor’s Office approved the operation, without conditions and in accordance with the provisions of Legislative Decree 211 of 1973.
