Ref.: Informs summons to Extraordinary Shareholders’ Meeting.
From our consideration:
Pursuant to Articles 9* and 10* of the
Law N*18.045, being duly empowered to communicate to you, as
essential fact regarding “Echeverría, Izquierdo S.A.” (the “Society”), the
next:
At the Company’s Board of Directors meeting held on April 10, 2023, it was agreed,
among other matters, summon the shareholders of “Echeverría, Izquierdo S.A.” to the Meeting
Extraordinary Shareholders to be held on April 27, 2023, below
of the Ordinary Shareholders’ Meeting, at the Company’s registered office located in Rosario
Norte N*532, 8th floor, Las Condes commune, and the shareholders of
virtually and remotely in accordance with the procedure approved by the
Board of Directors, in order to pronounce on the following matters:
1) Approval of a new share purchase programme
own issue until completing 1% of share capital, with the
To Implement a Workers’ Compensation Plan
of the Company and its subsidiaries, in accordance with Articles 27 and
following Law 18,046 on Corporations;
1i) Approval of a period of up to 12 months to acquire directly
in wheel such actions;
(iii) Minimum and maximum price payable for the respective shares or
empower the Board of Directors to set the minimum and maximum price; and
iv) The other matters necessary to realize the aforementioned program
acquisition of shares of own issue.
The documents that substantiate the matters submitted to the vote of the Board
Extraordinary Shareholders, will be available on the website of the
Society.
