From our consideration:
In accordance with Article 9? and second paragraph of article 10% of the Law
N*18.045 and the provisions of General Rule N* 30 of this Commission for the
Financial Market, duly authorized, I inform you of the following with the character of
ESSENTIAL FACT:
As reported to that Commission on January 13, 2022, the Company subscribed
with Enjoy S.A. a merger agreement (Werger Agreement), in order to establish the
binding terms and conditions for a possible merger of the companies, whose
malcrialization was subject to the fulfillment of certain suspensive conditions (the “Operation”).
With this date, certain suspensive conditions being pending, the parties have
agreed to terminate the Merger Agreement in accordance with its stipulations and not to persevere in
the Operation.
