From our consideration:
In accordance with the provisions of article 9 and second paragraph of article 10 of the
Law N*18.045 and General Rule N*30 of the Commission for the Market
Financial, duly authorized for this purpose and on behalf of Don Goyo
Transmisión S.A. (the “Company”), I come to inform as an essential fact what
next:
The Company has learned that, with this date, Arroyo Energy Chile
Renewables 1 España S.L. transferred to Sonnedix Chile Holding Operational SpA
(“Sonnedix”) all the shares of Inversiones ARCO I SpA, a company that is the
current indirect controller of the Company. In that way, Sonnedix acquired,
indirectly, all the shares of the Company.
Additionally, with this date, the titular directors of the Company, Mr. Gustavo
Adolfo Venegas Castro, César Rudolf Araneda Kauert and Mario Guevara Esturillo,
and the alternate directors of the Society, Mr. Samuel Marvin Warfield, Mr. Robert
Clayton Jordan and Don Diego Gotthelf, presented their irrevocable resignation from their positions
as directors of the Society.
In view of the resignation of all the directors of the Company, today a
extraordinary meeting of shareholders of the Company, in which it was agreed to remove the
the position of alternate director, the increase in the number of directors from three to four and the
total renewal of the board of directors, which has been integrated by the directors Mr. Iván
Arturo Araneda Mansilla, Mr. Axel Thiemann, Mr. Sergio Alfredo del Campo Fayet and Mr.
Mario Raúl Guevara Esturillo.
For its part, in a meeting held on the same date, the Board of Directors of the Company
agreed to the appointment of Mr. Iván Arturo Araneda Mansilla and Mr. Sergio Alfredo del
Campo Fayet as chairman and secretary of the board, respectively.
