Ref: Communicates Essential Fact
Dear Sir or Madam:
In compliance with the provisions of Articles 9* and 10* of Law No. 18,045 of
Securities Market, in Circular N*991 and other current regulations of this Commission,
duly empowered and on behalf of the society Divina Pastora Seguros de
Vida S.A., hereinafter, the “Company”, hereby I come to communicate
as an essential fact that, at the Board Meeting held on 28
November 2022, the Company’s directors agreed:
1. The issue of 1,243 payment shares, out of a total of 1,550 ordinary shares,
nominative, of a single series, without nominal value and of equal value each, which
were approved at the Extraordinary Shareholders’ Meeting held on April 11
of 2022, which increased the capital of the company, whose minutes were reduced to deed
public dated April 14, 2022 at the Notary of Santiago de don Iván
Torrealba Acevedo. The above-mentioned capital increase was approved by the
Commission for the Financial Market by means of Exempt Resolution N* 3124,
issued on May 20, 2022.
2. Empower the General Manager of the company, Mr. Alberto Alcolea, to carry out
The opening publication of the 30-day preferential option period of
subscription of shares – in accordance with the provisions of article 25 of Law 18,046
and its Rules – in the Diario el Mostrador.
3. That according to the preferential right of the shareholders registered in the
Registration of shareholders at midnight on the fifth business day prior to the date
of the beginning of the preferential subscription period, the company “Inversiones Divina
Pastora SpA”, owned the right to subscribe for 1,230 registered shares, of
the same series, ordinary and without nominal value. In turn, the other shareholder
“Divina Pastora Seguros, Mutua de Seguros”, had the right to subscribe 13
registered shares, of the same series, ordinary and without par value.
4. That on December 7, 2022, it was held among the shareholders of the
company, a contract for the assignment of a right of pre-emption option, through the
which Inversiones Divina Pastora SpA ceded to “Divina Pastora Seguros, Mutua de
Insurance”, the right to subscribe 740 of the 1,230 shares that correspond to it
in view of its pro rata in the company’s participation.

5. That on December 16, 2022, Inversiones Divina Pastora SpA,
signed the subscription contract for shares of Divina Pastora Seguros de
Vida S.A. , through the payment of 490 registered shares, of the same series,
ordinary and without face value, at a subscription price of $ 618,070.-
6. That on December 19, 2022, “Divina Pastora Seguros, Mutua de
Insurance”, signed the subscription contract for shares of Divina Pastora
Seguros de Vida S.A. , through the payment of 753 registered shares, of a
same series, ordinary and without nominal value, at a subscription price of
$618.070.-
7. Given the foregoing, the issuance of shares approved at the Board Meeting
held on November 28, 2022 has been entirely
subscribed and paid, leaving the capital of the company divided into 6,243 shares
nominative, of the same series, ordinary and without nominal value.
8. As a result of the subscription and payment of shares previously indicated
the shareholding of Divina Pastora Seguros de Vida S.A. is the
next: (1) “Inversiones Divina Pastora SpA”, owner of 5,440 shares
nominative, of the same series, ordinary and without nominal value, and (2) “Divine
Pastora Seguros, Mutua de Seguros”, owner of 803 registered shares, of
the same series, ordinary and without nominal value.
