On behalf of Credicorp Capital Asset Management S.A. Administradora
General of Funds, hereinafter the “Company”, in accordance with the provisions of the
Article 9 and second paragraph of Article 10 of Law No. 18,045 on the Securities Market, and
the provisions of General Standard No. 30 issued by this Commission,
duly authorized to do so, I hereby communicate to you and to the market in general,
As an essential fact, the following:
That at the ordinary shareholders’ meeting of the Company held on April 27, 2023,
The matters of this kind of meetings were treated, and in particular the
following agreements:
1. Approve the balance sheet, financial statements and report of the audit firm
external of the Company for the year ended December 31,
2022.
2. Distribute a definitive dividend, charged to the profits of the year 2022, for
the total amount of $2,070,000,000, that is, the amount of $591,428.57 per share, which
It will be paid from April 27 of this year.
3. The Company’s dividend policy for the year 2023.
4. Appoint a new board of directors for the Company and fix its remuneration, which will be
composed by Mrs. Mariana Gómez Moffat and Mr. Guillermo Tagle
Quiroz, Alfonso Vial van Wersch, Klaus Kaempfe Lavarello and James Loveday Laghi.
5. Designate EY Servicios Profesionales de Auditoría y Asesorías SpA as a company
of external audit of the Company for the year 2023.
6. Reported on related party transactions carried out during the
Fiscal year 2022.
7. The electronic newspaper El Líbero was designated as the newspaper in which they will be published
notices to summons to shareholders’ meetings that may be necessary and
other legal publications of the Company.
