From our consideration:
In accordance with the provisions of Article 9 and second paragraph of Article 10 of Law No. 18,045 and the provisions of General Standard No. 30 of the Commission for the Financial Market, I comply with reporting as an essential fact the following:
In an Extraordinary Board Meeting held on April 25, 2023, attended by the directors elected at the Ordinary Shareholders’ Meeting held on the same date, the Board of Directors of the company was elected, which was composed as follows:
President: Don Alfonso Larraín Santa María
Vice President: Don Rafael Guilisasti Gana
Likewise, in compliance with the provisions of Circular number 1,956 of the Commission for the Financial Market, we inform that in the same Extraordinary Meeting of the Board of Directors of the company, it was agreed to appoint as a member of the Directors’ Committee referred to in article 50 bis of the Law of Corporations, Mrs. Janet del Pilar Awad Pérez who, In accordance with the provisions of the ninth paragraph of that article, it appointed Rafael Guilisasti Gana and Rafael Marín Jordán as the other members of the Committee.
Of those appointed, Mrs. Janet del Pilar Awad Pérez was elected as an independent director, who presented the Affidavit of Independence, in the terms and opportunity required by article 50 bis of the Law of Corporations.
