From our consideration:
In compliance with the provisions of Articles 9 and 10 paragraph 2 “of Law No. 18,045 on
Securities Market, and section Il of the Commission’s General Rule No 30 for
the Financial Market (“CMF”), the undersigned, in its capacity as General Manager of the company by
shares Empresas Juan Yarur SpA (the “Company”), registered in the Securities Registry with the
N*1114, and duly authorized for this purpose, informs you as an essential fact, the
next:
Today was held the Ordinary Meeting of Shareholders of the Company in which
agreed:
1.
Approve the report, the financial statements with their respective notes and the report
of the external auditors for the year ended 31 December
of 2021;
Distribute a dividend of $ 3,500 per share, which will be paid on Tuesday, April 26
of 2022;
For those shareholders who so requested, to pay from their dividend, the
Final Tax Substitute Tax (ISFUT) established in Article 25
transitory of Law 21.210;
Approve the Dividend Policy;
To elect as directors of the Company, for the statutory period of three years to the
Mrs. María Cristina Yarur Terre and Mr. Diego Yarur Arrasate, Mr. Eugenio von
Chrismar Carvajal, Carlos Spoerer Urrutia and Luis Enrique Yarur Rey;
Approve the remuneration of the Board of Directors;
Choose the firm KPMG Auditores Consultores Limitada as external auditors of
the Society for the year 2022;
Choose the firms Feller Rate Clasificadora de Riesgo Limitada and Fitch Chile
Limited Risk Classifier as private risk classifiers of the
Society for the year 2022;
9. Designate the Financial Journal and / or Pulse of Diario La Tercera, to carry out the
publications of the Society; and
10. To account for the operations referred to in Article 44 of the Companies Law
Anonymous.
