Dear Sir or Madam:
In accordance with the provisions of Articles 9 and 10 of Law No. 18,045 on the Market of
Securities, as well as the instructions of the Commission for the Financial Market, in the Section
Il of the General Standard N*30 and in Circular N*1.737, I inform you at
Quality of Essential Fact the following:
On March 21, 2023, the Board of Directors of the National Telephone Company,
Telefónica del Sur S.A. (the “Company”) agreed to summon the Ordinary Shareholders’ Meeting to
to be held on April 18, 2023, at 12:00 noon, at the offices of the Company
located in San Carlos N*107, Valdivia, in order to submit to the consideration of the
Shareholders the following matters:

Review of the social situation and the reports of the External Auditors; know and
decide on the Annual Report and Financial Statements of the Company,
corresponding to the year ended 31 December 2022;
Distribution of profits or losses for the year ended 31
December 2022;
Dividend Policy:
Determination of the remuneration of the Board of Directors of the Company for the year
annual 2023;
Appointment of External Auditors for the financial year 2023:
Designation of newspaper for the publication of notices;

g) To account for operations referred to in Arts. 146 et seq. of the Act
N*18,046; and
h) Other matters of social interest within the competence of the Board, in accordance with the law and the
Bylaws.
Those shareholders who are registered in the
Register of Shareholders at the date of its celebration.
The qualification of powers, if applicable, will be made on the same day and place of the Meeting, to
