Dear Sir or Madam:
In accordance with the provisions of articles 9″ and 10 of the Law
N*18.045 of the Securities Market, as well as the instructions of the Market Commission
Financial, in Section II of General Standard No. 30 and in the Circulars
N*660 and 1.737, and being duly authorized to that effect, I inform you, as
Essential Fact, the following with respect to Compañía Nacional de Telefonos, Telefónica del
Sur S.A. (the “Sociedag”):
At the Extraordinary Shareholders’ Meeting held today,
It agreed, inter alia, as follows:
(a) Request Mr. Real Estate Conservator of Valdivia re-registration in the
Commercial Registry in charge, of the social registration of the company Company
Nacional de Telefonos, Telefónica del Sur S.A., attended the referral of the
notebooks of the Registry of Commerce of Valdivia of the year 1893 to the National Archive,
together with the annotation of all its marginal notes made in the Register of
Commerce of Valdivia, both by the Real Estate Conservator of Valdivia,
and by the National Archives.
b) To issue a new text of the Company’s bylaws.
