Ref.: Essential Fact – Series F Bond Placement
Dear Sir or Madam:
In accordance with the provisions of article 9% and second paragraph of article 10? of the
Law N? 18.045 and in General Standard N? 30, and duly empowered to do so, I inform you of the
following essential fact regarding Compañía Electro Metalúrgica S.A. (the “Company”, and its offering values
Public:
By communication dated July 7, 2022, your Commission authorized the
placement in the stock market in general the sum of up to UF2,000,000.- for the concept of capital of the
Series F bonds (the “Series E Bonds”), charged to the 10-year dematerialized bond line registered in the
Registry of Securities of your Commission dated June 15, 2022, under registration number 1106 (the
“Bonus Line”).
Series F Bonds: (i) expire on the first day of June 2032; (ii)
accrue on the unpaid capital, expressed in Development Units, an interest rate of 3% per annum,
calculated on the basis of years of 360 days expired and composed semiannually over equal semesters of 180
days, equivalent to a half-yearly rate of 1.4889%; and (iii) the Company may redeem them early to
from the first of June 2025.
We hereby inform that this date has been made through
of the Santiago Stock Exchange under the system of “Dutch Auction” the placement of all the
Series F Bonds of the Company. The funds obtained with the aforementioned placement will be allocated by the
Company to refinance liabilities of the Company and / or general corporate uses thereof.
Finally, in accordance with the provisions of Circular N* 988 of your
Commission, we inform you that at this stage it is not possible to quantify the effects that this operation will have on
the results of the Society.
