From our consideration:
In compliance with the provisions of articles 9 and 10 of Law 18,045, on the Securities Market,
General Standard N*30 and Circulars N* (s) 662 and 911 of the Commission for the Market
Financial and other current regulations, we inform as Essential Fact of Insurance Company
Generales Consorcio Nacional de Seguros S.A., the following:
1. As recorded in the minutes of the Company’s Extraordinary Meeting, held on 09
September 2022 and reduced to a public deed dated September 22, 2022 before the
Notary Public of Santiago Mr. Luis Eduardo Rodriguez Burr (the “Meeting”), the shareholders of the
Society agreed to increase the share capital from $ 13,548,583,673 divided into
2,057,938,798 shares, all registered and without par value, fully issued and paid,
to the sum of Ch$23,548,583,678 divided into 2,724,605,465 shares, all of which are registered for
one and the same series and without nominal value.
2. In the minutes of the Meeting, it was recorded that this capital increase, equivalent to the sum
of $10,000,000,005.- will be paid through the issuance and placement of 666,666,667 shares of
Payment, nominative and without nominal value, which must be fully subscribed and paid
within three years from the holding of the Meeting.
3. On November 24, 2022, if you started the preferred subscription option period of
actions for a period of 30 days from that date, whichever was notified to the
shareholders by notice published in the newspaper El Líbero dated November 24, 2022.
4. In relation to the above, we inform that, with this date, exercising your right of option
preferred, the shareholders of that right subscribed and paid all the shares
issued in proportion to their respective participation in the share capital.
