Ref.: Communicate essential fact
In accordance with the instructions given by that Commission and in accordance with the provisions
by article 9 and paragraph 2 ” of article 10 of Law 18,045, we allow ourselves to communicate that
at the Ordinary General Shareholders’ Meeting, held today, April 26, 2023,
They reached the following agreements:
1. The Annual Report, Balance Sheet, Financial Statements and report of the company of
External audit for the year ended December 31, 2022.
2. It was approved to pay on May 26, 2023 the final Dividend N* 126 of $ 425.-
per share against 2022 results.
3. The remuneration of the Board of Directors and Committee for the year 2023 was agreed.
4. As a dividend policy, it was agreed to empower the Board of Directors to distribute up to
100% of distributable net income for 2023 through two payments
provisional quarters in the June-August and October-December quarters of 2023 and a
definitive dividend in May 2024. In addition, it was agreed to empower the Board of Directors to
distribute additional or eventual dividends charged to accumulated profits of
previous years if the Statement of Cash Flows for the year 2023 allows it.
5. Appoint EY Audit SpA as an external audit firm for the financial year 2023
6. It was agreed to make all social publications in the Financial Journal
