Dear Sir or Madam:
In accordance with the provisions of articles N.2 9 and N.2 10 second paragraph of Law N.2
18.045, to the provisions of General Standard N.? 30 of this Commission, and duly authorized,
I hereby inform you as an Essential Fact of the following:
That on November 21, 2022, the Extraordinary Shareholders’ Meeting of
Comercial de Valores Servicios Financieros SpA., in which the following matters were approved:
1.
Capital Increase: Increase the capital of the company Comercial de Valores Servicios
Financieros SpA., of the sum of $8,023,273,614 pesos, divided into 9,674,747 shares
ordinary, in the amount of $9,881,873,614 pesos, divided into 11,997,997 shares, through
the issue of 2,323,250 payment shares, nominative, ordinary, all of the same series
and without nominal value, payable within a maximum period of one year after the remainder of
duly legalized this Reform to the Bylaws, and whose referential value by
share, is $800.
Right and preferential subscription option: The company INVERSIONES NEVADA S.A., exercised
your right and pre-emptive option to subscribe in the shares, subscribing the amount of
2,323,250 shares comprising the increase, which were paid on the spot,
through the capitalization of the sum of $1,858,600,000 pesos, which corresponds to the
the entire receivable that INVERSIONES NEVADA S.A. has against the
Society.
Reform of the statutes: On the occasion of the capital increase, the modifications will be made
to the Statutes of the company, in its fifth and first transitory articles.
