Extraordinary Shareholders and Agreements

Madam President:
By means of the present and in accordance with the provisions of article 9 and paragraph 2? of the article
10 of Law No. 18,045, in relation to the provisions of paragraph 2? Article 9 of D.F.L N* 251 and
Section 1.1.2 of Circular No. 991 of 23 January 1991 of the former Superintendence of
Valores y Seguros, I come to inform on behalf of Colmena Compañía de Seguros de Vida
S.A., as an essential fact, the following:
At the Extraordinary Shareholders’ Meeting held on September 28, 2022, the company
approved the signing of a credit agreement with Banco Internacional for a total amount of
up to UF34,271 for the term, interest rates and other conditions agreed for this purpose
with that institution. At the same Shareholders’ Meeting, it was approved that the monies received
as a result of the aforementioned credit that will be contracted with Banco Internacional,
may be allocated to working capital, without prejudice to being able with them or part of them to carry out
appropriations deemed appropriate, with the intention of carrying out a
loan to Colmena Salud S.A. for the sum of UF 34,271, subscribed between the parties to
These effects a mutual contract, which is proposed to be concluded for 12 months, renewable, with a
Interest rate to be determined at the time of granting the corresponding documents
of the loan, payable in principal and interest at maturity,
It should be noted that this transaction does not affect the company in any way in terms of its
solvency indicators, the established surplus rule and with debt service, being in
possible consequence of the acquisition of this financial obligation.
