By this means and in accordance with the provisions of article 9 and paragraph 2″ of the article
10 of Law No. 18,045, in relation to the provisions of paragraph 2″ of Article 9 of D.F.L N* 251 and in
Section 1.1.2 of Circular No. 991 dated January 23, 1991 of the former Superintendence of
Valores y Seguros, I come to inform on behalf of Colmena Compañía de Seguros de Vida
S.A., as an essential fact, the following:
At the board meeting of Colmena Compañía de Seguros de Vida S.A. held on 16
May 2022, the Board of Directors has unanimously approved the materialization of a loan to its parent company
Colmena Salud S.A. for the amount of $ 1,000,000,000, by transfer in current account
mercantile.
It should be noted that this transaction does not affect the company in any way in terms of its
Solvency indicators.
