Informs agreements of the Ordinary Shareholders’ Meeting of Colbún S.A.
Dear Sir or Madam:
By virtue of the provisions of Article 92 and second paragraph of Article 102 of the Securities Market Law, in accordance with the provisions of Article 63 of the Law on Corporations and the provisions of General Rule No. 230 of the Commission under your charge, being duly empowered, I hereby communicate to you the following essential information regarding the Company:
At the Ordinary Shareholders’ Meeting held today, the following resolutions were adopted:
1.- It was agreed to appoint EY Servicios Profesionales de Auditoría y Asesorías SpA as an external audit firm for the year 2022, and
2.- It was approved to distribute a definitive and final dividend in the amount of US$22,648,930.87, corresponding to US$0.00129 per share; which, added to the provisional dividend of US$250,000,000.00, corresponding to US$0.01426 per share, approved at the Extraordinary Meeting of the Board of Directors on August 10, 2021 and paid on October 12, 2021, would amount to a total dividend of US$272,648,930.87; which corresponds to 50% of the Distributable Net Income of the year 2021, and distribute an additional dividend charged to profits of the year 2021 for the amount of US $ 50,000,000.00, corresponding to US $ 0.00285 per share.
The proposed dividends will be paid in United States dollars or Chilean pesos as of May 12, 2022, at the “observed dollar” exchange rate published in the Official Gazette dated May 10, 2022, in accordance with the company’s usual procedures for the payment of dividends.
