From our consideration:
In accordance with the provisions of Article 9 and the second paragraph of Article 10 of Law No. 18,045, and General Standard No. 30 of the Financial Market Commission, I comply with informing you as an essential fact, that at the Ordinary Shareholders’ Meeting of Codelco, held on April 29, 2022, with the assistance of Mr. Minister of Finance and the Minister of Mining, as delegates of H.E. the President of the Republic, the following agreements were taken:
1.- The Annual Report, Balance Sheet and other financial statements for the year ended December 31, 2021, and the report of the external auditors referring to that year were approved.
2.- PwC Chile was appointed as Codelco’s External Auditor for 2022.
3.- Moody’s, Standard & Poor’s, FitchRatings and FellerRate were designated as Codelco’s risk rating agencies for 2022.
4.- The Diario Financiero was designated as the newspaper for the publications that correspond to Codelco by printed media, in accordance with the provisions of the law of corporations and instructions of the CMF.
5.- An account was rendered of the operations that the Corporation has carried out with related entities or persons, in accordance with the provisions of Article 44 of Law No. 18,046 on Corporations.
6.- The activities of the Directors’ Committee were reported, as well as the expenses incurred by the Board of Directors and the Directors’ Committee during 2021.
7.- The Annual Progress Report of the Business and Development Plan 2022 was reported and analyzed.
