Dear Sir or Madam:
In accordance with the provisions of article 9 and second paragraph of the
Article 10 of Law No. 18,045 on the Securities Market and the General Rule
N*30 of the Commission for the Financial Market in charge, finding myself duly
authorized, I communicate by this act, as an ESSENTIAL FACT, the following:
On April 13, 2023, the Extraordinary Meeting of
Shareholders of Coagra S.A., in which the following resolutions were adopted, among others:
(a) To amend the statutes of the (b), worded as follows:
“ARTICLE FOUR: The purpose of the company is: a) to market through
purchase, sale, commission or in other forms all kinds of agricultural, fruit and fruit products
livestock, seeds, plants, fertilizers, herbicides, pesticides and other inputs
agricultural, wine and agricultural activities; (b) Marketing and distributing equipment;
machinery, vehicles, tractors, tools, technological services oriented to the
field of agriculture including conducting studies, providing services
related, including import, purchase, sale and distribution of equipment
corresponding, and other implements of agricultural activity, either by purchase
and sale or representation of other manufacturers or distributors; (c) importing and
export for its own account or for third parties the products and species referred to in the two
preceding paragraphs; d) Provide services of deposit, storage, drying, cold and
other services to agricultural or other producers; e) Produce directly or in
association with third parties, seeds and plants for agriculture, fruit growing, viniculture or

forestry; £) Promote or carry out directly or in association with third parties agro-
industries of any nature, including processors, packing, refrigerators,
packaging machines, wine cellars and, in general, agricultural products. Are
included in the corporate purpose all acts, contracts and businesses that serve or
complement the object. In the fulfillment of the corporate purpose, the Company will seek
generate a positive impact for the community, people linked to society and the
environment. Only the shareholders of the Company may demand compliance with the
provided for in this Article.”
