Ref: Communicate Essential Facts
From our consideration:
In compliance with the provisions of articles 9 and 10 of Law 18,045 on the Securities Market,
and other current regulations, we inform as Essential Facts of CN Life Insurance Company
of Vida S.A., the following:
1.
That, on April 25, 2023, at 12.00 noon, the Ordinary Meeting of
Shareholders of the company, which was attended by 100% of the issued shares with the right to
vote and in which the following was agreed:
Approve the Report, Balance Sheet, Financial Statements and Report of the External Auditors
of fiscal year 2022.
Approve the company’s Dividend Policy for 2023.
Distribute as a dividend the sum of Ch$8,824,999,993.- which is equivalent to the sum of
$435.118484 for each share, in addition to the provisional dividend of $15,000,000,073.-
approved by the Board of Directors of the company in August 2022 and ratified
by this Board. This dividend will be paid as of April 27, 2023, at
shareholders registered in the respective registry on the fifth business day prior to that date.
It was noted that the solvency levels required by
DFL N*251, including the new built-in equity strength indicator
through Law N*21,276, verifying that the Company complies with the requirements
assets and solvency to approve the distribution of dividends charged to the
Earnings for 2022, including the provisional dividend approved in August
of the year 2022.
Approve the Remuneration Policy of the Board of Directors for the year 2023.
Appoint Pricewaterhousecoopers Consultores Auditores SpA as a
External audit to examine accounting, inventory, balance sheet and other statements
financial during the year 2023.

f. Approve related party transactions carried out by the Company during
the financial year 2022, as well as the terms and conditions according to which the Company carries
carried out such operations.
g. Designate the newspaper “El Líbero” for social publications and summons to future meetings
of shareholders.
h. Designate Fitch Chile as a Limited Risk Classifier and Feller Rate as a Risk Classifier
Limited Risk to make the corresponding risk classifications for
the financial year 2023.
We inform the President that the Annual Report 2022 is
available on the www.consorcio.cl site and which has also been sent to that Commission at
through the SEIL system.
The details of the resolutions taken at the aforementioned Meeting will be recorded in the respective minutes, which

2. That, at a special meeting held today, the Board of Directors noted that,
As of May 2, Mr. Guillermo Valenzuela Brito will leave his position as Prosecutor
and Compliance Officer of CN Life Compañía de Seguros de Vida S.A., assuming the
position of Corporate Manager of People and Culture for the entire Consorcio Group; in your
replacement, Mr. Sebastián Valenzuela will assume the position of Prosecutor and Compliance Officer
Morgan, who has been in the legal area of Consorcio insurance companies for almost 20 years, who
he shall also assume, as of the same date, the position of secretary of the Board of Directors.
The Board of Directors thanked Mr. Valenzuela Brito for his commitment, professional excellence and
dedication during these 8 years in which he served as Prosecutor of the Company, wishing them
to both, all the success in their new professional challenges within the Consortium Group.
