Dear Sir or Madam:
By virtue of the provisions of Article 9 and Article 10, second paragraph, of Law No. 18,045,
of the Securities Market, in accordance with the provisions of Article 63 of Law No. 18.046,
on Corporations (“Corporations Act”), and the instructions contained in
General Rule No. 30, being duly authorized, I communicate to you at
Essential information character the following:
On this same date, the Board of Directors of Empresas CMPC S.A. (the “Company”) adopted, among others,
The following agreements:
1. To convene an Ordinary Shareholders’ Meeting (the “Meeting”), to be held on April 27,
2023, at 11:00 a.m., at Calle Agustinas N° 1343, city and commune of Santiago, in order to
submit to the consideration of the shareholders of the Company the following matters:
Comment on the Annual Report (Integrated Report), Financial Statements
Annual and Report of the External Audit Company, all corresponding to the
year ended December 31, 2022;
Resolve on the distribution of dividends;
Inform policies and procedures on profits and dividends;
Designate the External Audit Company and the Risk Classifiers;
Fix the remuneration of the Board of Directors, together with the remuneration and budget of the
Directors’ Committee for 2023;
Report on the agreements of the Board of Directors, related to the operations to which they are
refers to Title XVI of Law 18,046; and
To know and resolve on any other matter of competence of the Ordinary Meeting
of Shareholders, in accordance with the Law and the Bylaws.
2. At the same meeting, the Board of Directors agreed to propose to the Ordinary Shareholders’ Meeting the
Payment of a final dividend charged to the distributable net profit for the year
terminated on 31 December 2022, in the amount of 0.0842 United States Dollars
United of America by action. The payment of said dividend, subject to approval by the Shareholders’ Meeting,
It will be made as of May 10, 2023, in Chilean pesos or in dollars of the
United States of America, at the election of the shareholders. They will be entitled to this dividend
those shareholders registered in the Register of Shareholders at midnight on the 4th of
May 2023.
