CIMENTA S.A. GENERAL FUND ADMINISTRATOR
From our consideration:
In accordance with Article 9? and in the second paragraph of Article 10 of Law No. 18,045, Law on
Securities Market, and in Article 18 of Law No. 20,712, on Administration of Third Party Funds and Portfolios
Individual, and being duly authorized, is communicated, as an essential fact with respect to CIMENTA S.A.
GENERAL FUND ADMINISTRATOR, the following:
At the Administradora’s Ordinary Shareholders’ Meeting held on April 28, 2022, it was agreed, among others, to
matters:
1. – Approve the Annual Report, the Balance Sheet, the Financial Statements and the report of the External Auditors,
corresponding to the period ended December 31, 2021.
2. To approve the distribution and payment of a definitive dividend, in the amount of $ 964,689,300, charged to the
Accumulated tax profits, as of December 31, 2021. Of the total indicated, $ 341,876,241 correspond to
to the minimum mandatory dividend N*10, and the balance of $ 622,813,059, to an additional dividend.
3. The Board of Directors was completely renewed, being composed of the following members: Ricardo Enrique Ayala Marfil,
Patricio Muñoz Molina, Matías Cardone Armendáriz, Ignacio Silva Lombardi, Juan José Mac Auliffe Granello,
Patricio Lewin Correa, José Tomás Covarrubias Valenzuela, and Cristián Arnolds Reyes.
4. The General Manager – Mr. Fernando Rodríguez Taborga, and the Administration and Finance Manager –
Ms. Lorena Manríquez Villalobos – so that, indistinctly any of them, make communications
that correspond, in accordance with current legislation.
