Ref.: Essential Fact – Extraordinary Shareholders’ Meeting Held
From our consideration:
Duly authorized by the shareholders’ meeting of Chilena Consolidada Seguros Generales S.A.
(the “Company”, and in accordance with the provisions of the final paragraph of article 9 of D.F.L N*251, in
relationship with Article 10 of Law No. 18,045 on the Securities Market and Circular No. 991 thereof
Commission, we communicate to you as an Essential Fact, that, at the Extraordinary Shareholders’ Meeting
of the Company (the “Meeting”) held on this date, it was agreed, among other matters, the following:
1. Increase the capital of the Company by $20,000,000,250, by issuing 74,074,075
payment shares, of the same series, without par value, to be placed only between the
shareholders of the Company;
2. To amend, accordingly, the fifth article of the Company’s statutes in such a way that
reflect the capital increase already set out above, as well as replace the single transitional article; and
3. Empower the Board of Directors of the Company to set the placement price of the new shares
of payment, fix the start date of the legal preferential option period, issue the new
Payment shares, offer and place in the legal preferred option period new shares
of payment, exclusively between the shareholders of the Company and its assignees, according to
corresponds, as well as adopt all agreements and establish procedures that may
necessary to complement or comply with the resolution of the Board
The agreed modifications will be submitted in due course to the approval of this Commission.
