From our consideration,
Duly authorized by the Board of Directors of the Chilean company Consolidada Seguros
Generales S.A. (the “Company”), in accordance with the provisions of the final paragraph of article 9 of the
D.F.L. N*251, in relation to Article 10 of Law N*18.045 on the Securities Market, and the NCG
N930 of the Commission for the Financial Market (the “Commission”), we communicate to you as Fact
Essential of the Society the following:
At the Board Meeting held yesterday, it was agreed, among other matters, in relation to
to the issuance of 37,730,154 payment shares registered on June 22, 2022 in the Registry
of Commission Securities under No. 1119, corresponding to the capital increase agreed at the meeting
extraordinary shareholder agreement dated October 29, 2020, and approved by the Committee through
Exempt Resolution N* 2027 and Certificate N* 183, dated March 29 and 31, respectively,
next:
1. Set the start date of the legal preferential option period, starting on June 30
of 2022, the day on which the notice of the start of the preferential option period will be published in the Diario El
Libero.
2. As agreed at the aforementioned shareholders’ meeting, to offer the new shares of
payment preferably only between shareholders in proportion to the shares they hold registered to their
name in the Register of Shareholders of the Company, at midnight on the fifth business day preceding
The date of publication of the preferred subscription option.
