Extraordinary Shareholders
From our consideration:
Duly authorized by the Board of Directors of the Chilean company Consolidated Life Insurance
S.A. (the “Company”), and in accordance with the provisions of the final paragraph of article 9 of DFL N*251,
in relation to Article 10 of Law No. 18.045 on the Securities Market and Circular 991,
we communicate to you as an Essential Fact the following:
That the Board of Directors of the Company, at a meeting dated July 26, 2022, agreed to summon the Board of Directors
Extraordinary Shareholders for August 16, 2022, at the Corporate Offices located at
Avenida Apoquindo 5550, piso, 21, commune of Las Condes, Santiago, at 4:00 p.m., (the “Junta”,
in order to submit to the consideration and pronouncement of the shareholders the proposal of
Distribution of an eventual dividend for a total amount of $6,500,000,000, charged to profits
retained from previous years.
The holders of the shares that are registered will have the right to participate in the Meeting.
in the Register of Shareholders of the Company five working days in advance of the date of
Celebration of the Meeting.
In accordance with General Standard No. 435 and Circular No. 1141, both of
that Committee, the Board of Directors agreed that shareholders will be allowed to participate in the Meeting
through the use of technological means that the Company will enable for this purpose, which will allow
both participation and remote voting, guaranteeing simultaneity or secrecy, together
with the accreditation of the proper identity of the shareholders or their proxies, where appropriate, means
which shall be duly communicated in the pertinent notices and summonses.
