In accordance with the provisions of the final paragraph of Article 9 of D.F.L. N*251, in relation to the
Article 10 of Law No. 18.045 on the Securities Market, and in Circular No. 991 and NCG No. 30,
both of the Commission for the Financial Market (the “Commission”), we communicate to you how
Essential Fact of Chilena Consolidada Seguros Generales S.A. (the “Company”) the following:
On September 09, 2022, Zurich Insurance Company Ltd., controller of the Company,
subscribed and paid, through the local shareholder Inversiones Suizo Chilena S.A., the amount of
14,730,045 shares corresponding to part of the remaining shares issued by the Company
on the occasion of the capital increase agreed at the Extraordinary Shareholders’ Meeting held on 29
of October 2020, approved by the Commission through Exempt Resolution N* 2027 dated October 29, 2020
March 2022.
The total price paid for the shares amounted to the sum of $4,801,994,670, reaching
Zurich Insurance Company Ltd. to have an indirect shareholding in the Company of the
95.78% of the subscribed and paid-up capital to date.
