Ref: ESSENTIAL FACT
Madam President:
In accordance with the provisions of Articles 9 and 10 of Law No. 18,045 and Chapter 18-10 of the Updated Collection of Standards for Banks, I inform as an Essential Fact that Mr. Alfredo Ergas Segal has ceased to hold office as Director of the Bank, due to the verification of a cause of supervening disability. originated in circumstances beyond the intervention of Mr. Ergas, configuring the situation provided for in numeral 5 of paragraph 3 of article 50 bis of Law 18,046 on Corporations, having been included in the Board meeting of December 22, within the framework of the corresponding periodic update, as one of the main clients of the Bank to a company in which Mr. Ergas is Director.
The factual circumstances indicated above and the corresponding communication to the Superintendency of Pensions previously made by Mr. Ergas regarding the same matter, were informed by the Bank to the Commission for the Financial Market on December 30.
In turn, by Resolution No. E-250 of March 3, 2023, the Superintendency of Pensions has established the disability of Mr. Ergas, taking into account the verification of the cause of supervening disability referred to above.
In view of the above, the Independent Alternate Director, Mr. Paul Fúrst Gwinner, has assumed as Independent Principal Director, replacing Mr. Ergas in accordance with the provisions of the Bank’s Bylaws.
